FactSet has appointed a new CFO and disclosed transition and compensation details tied to the departure of its current finance chief.






Norwalk-based financial data firm FactSet has appointed a new chief financial officer and disclosed transition and compensation details tied to the departure of its current finance chief.

The company, which provides financial data, analytics and software to investment professionals, said Joshua B. Warren will become CFO effective April 13, succeeding Helen Shan, who is stepping down and will remain for a transition period.

Shan will be eligible for severance benefits under the company’s executive severance plan upon her departure, subject to a separation agreement, and will continue to receive salary, bonus eligibility for fiscal 2026 and benefits during the transition, according to a U.S. Securities and Exchange Commission filing. She will not be eligible for new incentive awards or a fiscal 2027 bonus, the filing said.

Warren, 46, most recently served as CFO of financial technology company Envestnet and previously held senior strategy roles at investment giant BlackRock. He will receive a base salary of $500,000 and be eligible for a target annual cash bonus equal to 110% of his salary, along with equity awards, SEC records show.

As part of his hiring package, Warren will receive a one-time equity and cash award valued at $1.5 million, with stock-based portions vesting over time.

FactSet said Shan’s departure is not related to any disagreements over accounting practices or financial reporting.

FactSet recently reported second-quarter results showing revenue growth but some pressure on profitability. Revenue rose 7.1% to $611 million, driven by demand from institutional and wealth management clients. Diluted earnings per share fell 4.5% to $3.59, while adjusted earnings per share increased 4.2% to $4.46.
